These User Terms of Use (“Terms”) of MealPlanet Portal Co LLC, a company duly established under the laws of the United Arab Emirates under trade license 1191732 (hereinafter referred to as the “Company”, “MealPlanet”, “we” or “us”), describe when and the conditions under which you as a user (“you” or “User”) (as defined below) are allowed to access or use MealPlanet’s website at www.mealplanet.com and/or application (hereinafter jointly referred to as the “Platform”). These Terms contain disclaimers and other provisions that limit our liability to you. Please read these Terms carefully before visiting our Platform.
MealPlanet’s services (the “Services”) offered herein comprise an online marketplace platform that simplifies the process of ordering meal plans from different suppliers.
The following are the terms that govern the use of the Platform by the User. By using the Platform, you expressly agree to be bound by these Terms and the separate Privacy Policy (“Policy”), and to follow these Terms and all applicable laws and regulations governing the use of the Platform. If you do not agree to these Terms, you should not access or use the Platform. You acknowledge that these Terms constitute a binding and enforceable legal contract between you and MealPlanet.
MealPlanet reserves the right to change and modify these Terms or any other MealPlanet policies related to use of the Platform without the consent of User or otherwise, at any time and at its sole discretion by posting revisions on the Platform. MealPlanet will provide the User with notice of such changes before implementing such revisions. Your continued use of the Platform will constitute acceptance of such changes or modifications.
If you violate these Terms, MealPlanet may terminate your use of the Platform in accordance with these Terms, and bar you from future use of the Platform and/or take appropriate legal action against you.
Subject to User’s compliance with these Terms, MealPlanet grants the User a non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the Platform. All rights not expressly granted in these Terms are reserved to MealPlanet.
MealPlanet retains all right, title, and interest in and to all trademarks, logos, images and service marks including these Terms as displayed on the Platform or in our marketing material are intellectual property of MealPlanet and/or third parties who have authorized us with the right to use proprietary rights (collectively the “Intellectual Property Rights”).
MealPlanet’s logo and names are trademarks of MealPlanet and are registered in United Arab Emirates. You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify these Intellectual Property Rights in any way without our prior express written consent. The use of our Intellectual Property Rights, including but not limited to the MealPlanet’s trademarks and copyrights to the MealPlanet logo on any other website not approved by us is strictly prohibited. MealPlanet will aggressively enforce its Intellectual Property Rights to the fullest extent of the laws, including criminal prosecution. MealPlanet neither warrants nor represents that your use of materials displayed on the Platform will not infringe or constitute a misappropriation of any rights of third parties not owned by MealPlanet or its Affiliates. Use of any materials on the Platform is at your own risk.
User must not reverse assemble or reverse compile or directly or indirectly allow or cause a third party to reverse assemble or reverse compile the whole or any part of the Platform or the Services. All other product names, company names, marks, logos, and symbols on the Platform may be the trademarks of their respective owners. Nothing in the Terms grants you a right to use any MealPlanet’s marks. User shall not conduct, facilitate, authorize or permit any text or data mining or web scraping in relation to the Platform or any services provided via, or in relation to, the Platform. This includes using (or permitting, authorizing or attempting the use of): (a) any “robot”, “bot”, “spider”, “scraper” or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the Platform or any data, content, information or services accessed via the same; (b) any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.
You are granted a license to use content on the Platform subject to the restrictions described in these terms and conditions and may not be used, copied, distributed, transmitted, broadcast, displayed, sold, licensed, de-compiled, or otherwise exploited for any other purposes whatsoever without our prior written consent. All Content and material contained in this Platform is and shall remain at all times the copyright of MealPlanet. If you download or print a copy of the content you must retain all copyright and other proprietary notices contained therein
The Platform allows its Users who agree to the Terms to subscribe to its partnered meal plan providers, restaurants, vendors etc. that may be operated by third parties or affiliated companies (hereinafter referred to as the “Merchants”).
The purpose of this Platform is to provide a simple and convenient service to Users, linking them to Merchants in their area for delivery (our “Service“) to subscribe to a variety of meal plans including prepared meals, beverages, and miscellaneous food items (hereinafter collectively referred to as “Meals“).
At the time of subscribing to Meals, MealPlanet acts as a facilitator on behalf of that Merchant and as an intermediary between you and the Merchant to conclude your subscription order from the Platform and to manage your experience throughout the subscription processing. We have created the Platform to serve as a marketplace for its Users.
MealPlanet does not sell or interfere in any way in the production of any Meals produced by the Merchants. MealPlanet offers Users the ability to search for and find Merchants that deliver or make these Meals available to their addresses and enables ordering them through this Platform. The Merchants are obligated to comply with the country’s local laws, rules, regulations, and standards pertaining to Meal preparation, sale, marketing and safety.
MealPlanet does not in any way independently verify the credentials, representations or products of Merchants, the ingredients or the quality of any products, or that a Merchant is in compliance with applicable laws.
The Merchants shall reasonably endeavour to comply with your special instructions for a Meal. However, in some cases where this is not feasible, possible or commercially reasonable, the Merchants reserve the right to proceed to prepare the Meal in accordance with standard operating procedures. Neither MealPlanet nor the Merchants shall be responsible to replace or refund a Meal which does not conform to special instructions provided by you.
MealPlanet shall not be liable or responsible for any Meal offered by Merchants that is unhealthy, is the cause of injury, that is otherwise unacceptable to Users or that does not meet the expectation of Users in any manner.
Users are solely responsible for verifying the accuracy of delivery addresses, and MealPlanet shall have no liability or responsibility for any such erroneous addresses.
You must be 18 years old to access the Services. You are required to register on the Platform and establish an account (“Account“) with us in order to access the Services and order Meals.
User mobile number will be used for the registration of the Account and is considered the default username for the Account. You agree to keep your Account password confidential and will be responsible for all use of your Account information and password. We will never ask you for your password; do not share your password with anyone. MealPlanet is not liable for any problems which may arise from the use of the password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
The User can change the password at any time. It is solely under the responsibility of the user to select and protect the password.
We reserve the right, in our sole discretion to (a) suspend your Account; (b) cancel your Account; and/or (c) edit your account details, at any time without notice or explanation. You may cancel your Account with us on our Platform at any time.
By using this Platform, you warrant that any personal information provided by you is true, accurate, current and complete in all respects and that you will notify us immediately of any changes to your personal information by updating your User profile on the Platform or by contacting us, you agree not to impersonate any other person or entity or to use a false name or a name that you are not authorized to use.
The Platform offers various meal plan subscription options provided by Merchants, including weekly, bi-weekly, or monthly subscriptions. You can choose the subscription plan that best suits your needs and preferences.
Users understand that the available Meals offered by MealPlanet may vary from a delivery area to another.
Upon choosing the subscription that best suits your needs and preferences, and upon acceptance of your subscription by the Merchant, such acceptance represents an agreement between the User and the Merchant. The Merchant has the sole responsibility for delivering the subscription orders.
MealPlanet does not provide any payment service either to you or to third parties. All online payments are processed via your own issuer / payment service provider and the payment service providers in partnership with MealPlanet.
Prices quoted on the Platform shall be displayed in the applicable country’s national currency and subject to applicable tax. You accept that prices offered on the Platform may vary from the prices and offers offered by our Merchants elsewhere (including their own websites, mobile applications, or at their brick-and-mortar outlets).
The way we display the prices on the Platform may vary depending on the Merchant, and, subject to applicable laws, the prices reflected on our Platform by the Merchants. Prices and additional charges (including but not limited to delivery or service fees) indicated on the Platform are as at the time of each subscription and may be subject to change later. MealPlanet reserves the right to charge fees for our Services as we deem necessary for our business. The breakdown of the prices and additional charges are displayed before checkout. When you place a subscription order, you agree to all amounts, additional charges and the final ‘Total’ amount which is displayed to you.
Our Refer a Friend program is a simple way to provide an incentive for both you and your friends. Share the link with your friend, once they download and subscribe to a meal plan, you will receive a reward of AED100 to your wallet, while your friend will also receive a discount of AED100.The Company reserves the right to determine the various forms in which these rewards can be redeemed, subject to certain limitations. There may be restrictions on the number of referrals you can make, or if the reward is in the form of a gift card, gift certificate, or voucher, it may be subject to the terms and conditions set by the issuer. Rewards are subject to verification, and the Company may delay the provision of a reward for investigate purposes. Additionally, the Company retains the right to decline verifying and processing any transaction for any reason. MealPlanet reserves the right to update these terms and conditions with effect for the future at any time.They are non-transferable and may not be auctioned, traded, bartered, or sold.
You acknowledge that MealPlanet provides the venue for Merchants to list their Meals and for Users to pursue the available Merchants and their services. In the event of a transaction between the User and Merchant, the User understands and agrees that MealPlanet shall collect the payments or processing payments between Users and Merchants. Payments are made by Users to Merchants through the Platform.
When using your Account as payment instrument you may choose from different payment methods as available and indicated on the Platform.
MealPlanet reserves the right to offer additional payment methods and/or remove existing payment methods at any time at its sole discretion. If you choose to pay using an online payment method, the payment shall be processed by our third-party payment service provider(s). With your consent, your credit card / payment information will be stored with our third-party payment service provider(s) for future orders. MealPlanet does not store your credit card or payment information.
You must ensure that you have sufficient funds on your credit and debit card to fulfil payment of a subscription order. Insofar as required, MealPlanet takes responsibility for payments made on our Platform including refunds, chargebacks, cancellations and dispute resolution, provided if reasonable and justifiable and in accordance with these Terms.
At the time of checkout, please read the applicable payment terms linked and disclaimers carefully before using any payment method.
By entering your delivery address on the Platform, you will see the Merchants that we make available to you. Delivery schedule is set at the time of subscription. Any changes to the delivery schedule can be made through the Platform or by contacting our customer service at [email protected]
If your order is significantly delayed from the estimated delivery schedule, please contact customer support immediately. In some cases, MealPlanet may request for additional information to properly investigate the issue with your order. If we determine that the order and/or Meals you received is significantly delayed we will compensate you for your Meal order.
Upon receipt of your Meal order, if you discover that there are issues with your Meal (e.g. wrong order, defective order, or missing items) please contact customer support chat feature via Platform immediately. In some cases, MealPlanet may request for photographic proof and/or additional information to properly investigate the issue with your order. If we determine that the order and/or Meals you received are not of satisfactory condition or quality, we will compensate you for your order or parts of your order.
In an effort to achieve customer satisfaction, MealPlanet may choose to compensate a certain order in select verified cases where the Customer: (a) did not receive the order, (b) the order received was incorrect / late, or (c) the order had missing items. The expected time span for reporting issues is within the same day of the order to ensure prompt resolution.
Please note, refunds will not be issued if the customer simply did not like the food. Please contact us with any concerns or feedback about your experience. If approved by management, refunds will automatically be applied to the original method of payment within 10–15 business days.
In the case of an approved refund, a cancellation fee may apply if the refund request is raised less than 3 days prior to the first order delivery date.
If you’ve consumed 25% or more of the subscription days, no refund will be issued for the remaining days. However, the remaining days can be paused.
You may have the option to review (the “Review”) any Meal you have subscribed to, or it have been delivered to you through the Platform. However, the Review provided by you shall be first approved by MealPlanet. The Reviews are approved based on the following criteria:
During the use of the Services of the Platform, the User accepts and undertakes that:
The Platform may offer you the opportunity to submit, post, display, transmit, perform, publish, distribute or broadcast content and materials, including, without limitation, photographs, text, data, questions, comments, suggestions or personally identifiable information (“Your Content”). You retain ownership of any intellectual property rights that you hold in your Content.
You grant us a royalty-free, non-exclusive, perpetual, irrevocable license to use, copy, edit, adapt, publish, reproduce, translate, sub-license, create derivative works from, make available, communicate, display, store and distribute Your Content (in whole or part) and/or to incorporate it in other works in any form, format, media, or technology now known or later developed (including without limitation in print, digital and electronic form) throughout the world in accordance with the provisions of these Terms. By submitting your Content, you warrant that you have the right to grant this license. To the extent permitted by law, you waive all moral rights in your Content. To the extent that you are unable to waive any such moral rights, you agree not to assert the same.
It is our sole discretion whether or not we choose to publish or otherwise make available your Content on the Platform.
For the avoidance of any doubt, you acknowledge and agree that we may:
Notwithstanding the above, you acknowledge that we are not responsible for checking, monitoring or moderating your Content and you remain solely responsible for your Content that you upload or submit.
By uploading or submitting your Content to the Platform, you warrant and represent that you are the sole author of and owner of all proprietary rights in the your Content. If your Content includes any material proprietary to a third party, you warrant that you have obtained the permission of such third party owners to use their material in accordance with the provisions of these Terms.
You warrant and represent that Your Content will not be inappropriate. You are prohibited from posting, uploading or transmitting to or from this Platform any material that:
The prohibited acts listed in the above paragraphs are non-exhaustive. You will pay MealPlanet for all costs and damages which it incurs as a result of you breaching any of these restrictions.
MealPlanet will fully co-operate with any law enforcement authorities or court order requesting or directing us to disclose the identity or location of anyone posting any material in breach of the above paragraph.
You shall indemnify us on demand and keep us indemnified against all liabilities, losses, damages, costs, claims and expenses (including any professional costs and expenses) suffered or incurred by us arising out of or in connection with any breach or alleged breach by you of this ssection.
You undertake to defend us from and against any claim or action by a third party that the use or possession of your Content submitted or uploaded to the Platform by you infringes the intellectual property of such third party (“IPR Claim”), and shall on demand indemnify us and keep us indemnified against all liabilities, losses, damages, costs, claims and expenses (including any professional costs and expenses) suffered or incurred by us arising out of or in connection with any such IPR Claim
You may not access or use the Platform for any other purpose other than that for which the Platform makes it available. The Platform is for the personal use of Users only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or roved by the Platform. In case of any prohibited activities committed by the user, the company has the right to suspend, block or terminate the user’s Account and prevent his access to log in the service. Prohibited activities include but not limited to the following:
MealPlanet reserves the right but is not obligated to do any or all of the following (with no limitation to other actions):
Cancel any subscription order and/or suspend, deactivate or terminate your Account in its sole discretion if it reasonably suspects or detects fraudulent behaviour or activity associated with your Account and/or with your order and/or any of the reasons named in these Terms
MealPlanet may prevent its registered Users who have created Accounts on the Platform from creating new passwords or from using their old passwords for an indefinite period of time if it is deemed necessary by MealPlanet.
MealPlanet has the right to back-up and delete all or some of the files, messages which are provided by the Users during the use of Services for some periods deemed suitable by the Platform. MealPlanet shall not be held responsible for back-up and delete processes.
MealPlanet has right to post any information, documents, software, designs, graphics, etc. (such as the messages, poets, reports/news, file posted to the bulletin board) which are generated and uploaded to the Platform by the Users and/or to transmit them to another place within the Platform as it deemed appropriate by MealPlanet.
The Merchant shall have the obligation to change the information related to the price and specifications of the Meals on the Platform. In the event of any misinformation relating to the price and specifications of the Meals, MealPlanet may correct this mistake by cancelling the order.
User acknowledges that:
Users knowingly and freely assume all risk when using the Services. The user voluntarily agrees to release, waive, discharge, hold harmless, defend, and indemnify MealPlanet and its stockholders, officers, directors, employees, agents, affiliates, consultants, representatives, successors, and assigns (collectively, the “Meal Parties”) from any and all claims, actions, or losses including but not limited to financial damages, bodily injury, property damage, wrongful death, emotional distress, loss of privacy, or other damages or harm, whether to MealPlanet or to third parties, that may result from User’s use of the Services.
MealPlanet does not endorse or make any representation or warranty whatsoever (whether express, implied or statutory), and shall not be responsible or liable under any circumstances whatsoever, in respect of:
Such third-party websites, third party information, data, instructions, functionalities, features, services, products or other content (whether provided or offered in or through such third-party websites or in or through this Platform) and Third-Party content are the sole responsibility of independent third parties and are not under the control of MealPlanet, and as such User’s access and/or use thereof and/or reliance thereon is solely at such User’s own risk
MealPlanet expressly disclaims any and all warranties, express or implied, regarding the Platform and the Services, arising by operation of law or otherwise, including without limitation any and all implied warranties of merchantability, fitness for a particular purpose, non-infringement, no encumbrance, or title, in addition to any warranties arising from a course of dealing, usage, or trade practice. MealPlanet does not warrant that the Platform and/or the Services will meet User’s requirements, or that the operation of the Platform and/or Services will be uninterrupted or error-free. MealPlanet disclaims all implied liability for damages arising out of the furnishing of the Platform and/or the Services pursuant to these Terms, including without limitation, mistakes, omissions, interruptions, delays, tortious conduct, errors, representations, or other defects arising out of the failure to the furnish the Platform and/or the Services, whether caused by acts of commission or omission, or any other damage occurring. The company shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including without limitation damages for lost profits or lost revenues), whether caused by the acts or omissions of MealPlanet, MealPlanet’s Parties or their agents or representatives.
MealPlanet is not responsible regarding the accuracy of information provided by Suppliers related to their services and products
In no event shall MealPlanet or MealPlanet’s Parties be liable to User for any claims arising from commercial and/or contractual terms, transactions and agreements made between User and Supplier, including without limitation for special, incidental, or consequential damages, lost profits, lost data or confidential or other information, loss of privacy, costs of procurement of substitute goods or services, failure to meet any duty including without limitation of good faith or of reasonable care, negligence, or otherwise, regardless of the foreseeability of those damages or of any advice or notice given to UserMealPlanet or MealPlanet’s Parties arising out of or in connection with any actions or obligations of User or Supplier, any commercial and/or contractual terms, transactions and agreements made between User and Supplier. This limitation shall apply regardless of whether the damages arise out of breach of contract, tort, or any other legal theory or form of action. User agrees that this limitation of liability represents a reasonable allocation of risk and is a fundamental element of the basis of the bargain between IOC and User. The Services would not be provided without such limitations.
Merchants are solely responsible for the preparation, condition and quality of Meal orders sold to you. In cases of Merchant Delivery, Merchants are responsible for delivery of the Meal orders. MealPlanet shall not be responsible or liable for any loss, damage, expense, cost or fees arising from your contractual relationship with the Merchant
Without limiting any indemnification provision of these Terms, User (the “Indemnitor”) agrees to defend, indemnify, and hold harmless MealPlanet and MealPlanet Parties (collectively, the “Indemnitees”) from and against any and all claims including but not limited to legal costs and fees, and providing sole and exclusive control of the defence of any action to MealPlanet, including the choice of legal counsel and all related settlement negotiations, arising out of or relating to: (i) the relationship between User and MealPlanet, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory; (ii) User’s breach of these Terms, including without limitation any representation or warranty contained in these Terms; (iii) User’s access to or use of the Services; (iv) User’s provision to MealPlanet or any of the Indemnitees of information or other data; (v) User’s violation or alleged violation of any foreign or domestic, international, federal, state, or local law or regulation; or (vi) User’s violation or alleged violation of any third party’s copyrights, trademarks, or other intellectual property or proprietary rights.
The Indemnitees have the right, but not the obligation, to participate through counsel of MealPlanet’s choice in any defence by User of any claim as to which User is required to defend, indemnify, or hold harmless any, the Indemnitee. User may not settle any claim without the prior written consent of MealPlanet
MealPlanet may amend these Terms at any time in its sole discretion, and the amended Terms shall be effective immediately upon posting, subject to applicable laws. It is your responsibility to check the Terms regularly. If you do not agree with the amended Terms, whether in whole or in part, you must stop using the Platform and/or any of its services immediately.
The information, content, products, services, and materials available through the Platform (whether provided by MealPlanet , you, other Users or other affiliates/third parties), including without limitation, subscription orders, submissions, text, photos, graphics, audio files, video, and links, are provided “as is” and “as available” without warranties of any kind, either express or implied. To the maximum extent permitted by law, MealPlanet disclaims all representations and warranties, express or implied, including but not limited to warranties of Merchant ability, fitness for a particular purpose, title, noninfringement, freedom from computer virus, and implied warranties arising from course of dealing or course of performance
By registering for the Services and providing your personal information, you expressly consent to receive electronic mail, social media and other methods of communication from MealPlanet, including communications and notifications. These communications will be about the Services and other matters
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Disputes arising in connection with these Platform Terms (including non-contractual disputes) shall be subject to the exclusive jurisdiction of the courts of Dubai International Financial Center and where applicable the Small Claims Tribunal.
If any part of these Terms deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any of the remaining provisions of these Terms. No waiver by us shall be construed as a waiver of any preceding or succeeding breach of any provision.
If you become aware of any violation of these Terms, you must immediately report it to customer service at [email protected]. You agree to assist us with any investigation we undertake and to take any remedial steps we require in order to correct a violation of these Terms.
These terms shall be available in both English and Arabic. In case of any discrepancies between the two versions, the English version shall prevail
